Terms and Conditions of Use

1. Acceptance of Terms

These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "You", "Your") and StayAhead Education ("StayAhead", "Company", "We", "Us", "Our") governing your access to and use of the StayAhead Education Staff Portal (the "Portal", "Service", "Platform").

By accessing or using the Portal, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Portal.

These Terms apply to all users of the Portal, including but not limited to Teachers, Academic Supervisors, Location Managers, Administrators, and Account Owners (collectively, "Staff Users").

2. Service Description

The StayAhead Education Staff Portal is a web-based application designed to facilitate educational data management and analytics. The Portal provides Staff Users with tools to:

  • Enter and manage student academic data
  • Track attendance records
  • Monitor student progress
  • Create and manage assessments
  • Generate learning profiles
  • Access analytics and reporting features
  • Collaborate with other educational staff members

The Portal is provided as a Software-as-a-Service (SaaS) platform accessible via web browser.

3. Eligibility and Account Registration

3.1 Eligibility

You must be at least 18 years of age and authorized by StayAhead Education or an affiliated educational institution to access the Portal. By using the Portal, you represent and warrant that you meet these eligibility requirements.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Immediately notify StayAhead of any unauthorized use of your account
  • Not share your account credentials with any third party
  • Take reasonable steps to prevent unauthorized access to your account

You acknowledge that StayAhead is not liable for any loss or damage arising from your failure to maintain account security.

4. Data Ownership and Intellectual Property

4.1 StayAhead's Ownership Rights

You expressly acknowledge and agree that all data entered into, generated by, or processed through the Portal ("System Data"), including but not limited to:

  • Student academic records and performance data
  • Attendance and enrollment information
  • Assessment results and progress tracking data
  • Learning profiles and educational analytics
  • Reports, visualizations, and derived insights
  • Metadata, usage patterns, and system logs

shall be and remain the sole and exclusive property of StayAhead Education, subject only to applicable data protection laws and the rights expressly granted to data subjects under such laws.

4.2 License Grant to StayAhead

By using the Portal and entering data into the system, you hereby grant to StayAhead a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, process, adapt, modify, publish, transmit, display, and distribute such data for any purpose, including but not limited to:

  • Operating, maintaining, and improving the Portal
  • Developing new features and services
  • Conducting analytics and generating insights
  • Training machine learning models and artificial intelligence systems
  • Creating aggregated and anonymized datasets
  • Benchmarking and comparative analysis
  • Marketing and promotional purposes (when anonymized)
  • Research and development activities

4.3 StayAhead Intellectual Property

The Portal, including all software, code, designs, graphics, interfaces, documentation, and content (excluding User-submitted data), is owned by StayAhead Education and protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Portal solely for its intended educational purposes during the term of your authorized access.

4.4 Restrictions

You shall not:

  • Copy, modify, distribute, sell, or lease any part of the Portal
  • Reverse engineer, decompile, or attempt to extract source code
  • Remove or alter any proprietary notices or labels
  • Use the Portal to develop competing products or services
  • Access the Portal through automated means (bots, scrapers) without authorization
  • Attempt to gain unauthorized access to any portion of the Portal or related systems

5. Data Processing and Analytics

5.1 Consent to Data Processing

By using the Portal, you expressly consent to the collection, processing, storage, and use of all data entered into or generated by the system, including personal data of students, staff, and other individuals, subject to applicable data protection laws.

5.2 Machine Learning and Artificial Intelligence

You acknowledge and agree that StayAhead may use System Data to:

  • Train, test, and improve machine learning models
  • Develop artificial intelligence systems for educational insights
  • Create predictive analytics and recommendation engines
  • Enhance automated features and intelligent tools
  • Generate benchmarks and comparative datasets

5.3 Aggregated and Anonymized Data

StayAhead may aggregate and anonymize System Data to create datasets that do not identify individuals or specific institutions. Such anonymized data may be used, shared, or licensed without restriction for research, analysis, benchmarking, marketing, or any other lawful purpose.

5.4 Analytics and Insights

StayAhead may analyze usage patterns, system performance, and educational outcomes to generate insights that improve the Portal's functionality, user experience, and educational effectiveness.

6. Data Protection and Privacy

6.1 GDPR Compliance

StayAhead is committed to compliance with the General Data Protection Regulation (GDPR) and other applicable data protection laws. Our processing of personal data is governed by our Privacy Policy, which details:

  • Legal bases for data processing
  • Categories of data collected
  • Purposes of data processing
  • Data retention periods
  • Data subject rights
  • International data transfers
  • Security measures

6.2 Data Subject Rights

Individuals whose personal data is processed through the Portal may have rights under applicable data protection laws, including:

  • Right of access to personal data
  • Right to rectification of inaccurate data
  • Right to erasure ("right to be forgotten") under certain circumstances
  • Right to restriction of processing
  • Right to data portability
  • Right to object to processing
  • Rights related to automated decision-making and profiling

6.3 Data Security

StayAhead implements appropriate technical and organizational measures to protect System Data against unauthorized access, alteration, disclosure, or destruction. However, no method of transmission or storage is completely secure, and StayAhead cannot guarantee absolute security.

6.4 Data Breach Notification

In the event of a data breach that is likely to result in a risk to individuals' rights and freedoms, StayAhead will notify affected parties and relevant supervisory authorities in accordance with applicable legal requirements.

7. User Responsibilities and Acceptable Use

7.1 Compliance with Laws

You agree to use the Portal in compliance with all applicable laws, regulations, and institutional policies, including but not limited to:

  • Data protection and privacy laws (GDPR, CCPA, etc.)
  • Educational records laws (FERPA, etc.)
  • Child protection legislation
  • Intellectual property laws
  • Anti-discrimination laws

7.2 Prohibited Activities

You shall not use the Portal to:

  • Enter false, misleading, or inaccurate information
  • Violate the privacy or rights of students, parents, or other individuals
  • Harass, abuse, threaten, or discriminate against any person
  • Transmit viruses, malware, or other harmful code
  • Interfere with or disrupt the Portal's operation or security
  • Access data or areas of the Portal for which you lack authorization
  • Use the Portal for any unlawful or fraudulent purpose
  • Violate any institutional policies or professional codes of conduct

7.3 Data Accuracy

You are responsible for ensuring the accuracy, completeness, and currency of all data you enter into the Portal. StayAhead relies on your professionalism and diligence in maintaining data quality.

7.4 Professional Conduct

As an educational professional, you agree to use the Portal in a manner consistent with your professional obligations, ethical standards, and the best interests of students.

8. Service Availability and Modifications

8.1 Service Availability

StayAhead strives to maintain Portal availability but does not guarantee uninterrupted or error-free access. The Portal may be unavailable due to:

  • Scheduled maintenance and updates
  • Technical difficulties or system failures
  • Third-party service provider outages
  • Security incidents or cyber attacks
  • Force majeure events

8.2 Modifications to the Portal

StayAhead reserves the right to modify, suspend, or discontinue any aspect of the Portal at any time, with or without notice. This includes adding or removing features, changing functionality, or updating the user interface.

8.3 Updates and Upgrades

StayAhead may automatically update the Portal to improve performance, security, or functionality. You consent to such automatic updates and acknowledge that these Terms will apply to all updated versions.

9. Third-Party Services and Integrations

The Portal may integrate with or provide links to third-party services, applications, or websites. StayAhead is not responsible for:

  • The availability, functionality, or performance of third-party services
  • The privacy practices or data handling of third parties
  • Content, accuracy, or reliability of third-party materials
  • Any harm or damages related to third-party services

Your use of third-party services is governed by their respective terms and conditions.

10. Disclaimer of Warranties

THE PORTAL IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STAYAHEAD DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES REGARDING ACCURACY, RELIABILITY, OR COMPLETENESS OF DATA
  • WARRANTIES REGARDING UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE ACCESS
  • WARRANTIES REGARDING THE RESULTS OR OUTCOMES FROM USING THE PORTAL
  • WARRANTIES REGARDING THIRD-PARTY SERVICES OR CONTENT

STAYAHEAD DOES NOT WARRANT THAT:

  • The Portal will meet your specific requirements or expectations
  • The Portal will be free from bugs, errors, or security vulnerabilities
  • Data will be accurately stored, processed, or transmitted
  • The Portal will be compatible with all devices or browsers
  • Any defects or errors will be corrected

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STAYAHEAD EDUCATION, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY:

11.1 Indirect, Incidental, or Consequential Damages

Including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Loss of goodwill or reputation
  • Business interruption or work stoppage
  • Costs of procurement of substitute services
  • Educational or academic setbacks
  • Emotional distress or reputational harm

11.2 Direct Damages Cap

In any event, StayAhead's total aggregate liability arising out of or related to these Terms or the Portal shall not exceed the greater of:

  • The fees paid by your institution to StayAhead in the 12 months preceding the claim, or
  • One hundred pounds sterling (£100)

11.3 Basis of the Bargain

You acknowledge that the limitations of liability set forth in this Section 11 are fundamental elements of the basis of the agreement between you and StayAhead, and that StayAhead would not provide the Portal without such limitations.

11.4 Exceptions

Nothing in these Terms shall limit or exclude liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be limited or excluded by applicable law

12. Indemnification

You agree to indemnify, defend, and hold harmless StayAhead Education, its parent companies, subsidiaries, affiliates, directors, officers, employees, agents, contractors, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising from or relating to:

  • Your use or misuse of the Portal
  • Your violation of these Terms
  • Your violation of any law, regulation, or third-party rights
  • Your negligence, willful misconduct, or breach of professional duties
  • Any data you enter into or access through the Portal
  • Your breach of data protection or privacy obligations
  • Any dispute between you and any third party related to your use of the Portal

StayAhead reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with StayAhead's defense of such claims.

13. Termination

13.1 Termination by StayAhead

StayAhead reserves the right to suspend or terminate your access to the Portal, immediately and without notice, for any reason, including but not limited to:

  • Violation of these Terms or applicable laws
  • Misuse of the Portal or System Data
  • Breach of security or unauthorized access attempts
  • Failure to pay applicable fees (if any)
  • Requests from law enforcement or regulatory authorities
  • Discontinuation of service to your institution
  • Any conduct that StayAhead deems inappropriate or harmful

13.2 Termination by User

You may discontinue use of the Portal at any time by ceasing to access the system. However, your obligations under these Terms (including Sections 4, 10, 11, 12, and 14) shall survive termination.

13.3 Effect of Termination

Upon termination:

  • Your right to access and use the Portal immediately ceases
  • You must cease all use of StayAhead intellectual property
  • StayAhead may delete or retain your account and associated data as permitted by law and our Privacy Policy
  • StayAhead's rights to use System Data as set forth in Section 4 shall survive
  • Provisions that by their nature should survive termination shall continue in force

13.4 No Refunds

StayAhead is not obligated to provide refunds or compensation for any reason related to termination or suspension of access.

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

14.2 Jurisdiction

Subject to the arbitration provisions below, you agree that any legal action or proceeding arising out of or related to these Terms or the Portal shall be brought exclusively in the courts of England and Wales, and you consent to the personal jurisdiction of such courts.

14.3 Arbitration Agreement

For disputes not exceeding £25,000, the parties agree to first attempt resolution through binding arbitration administered by a mutually agreed upon arbitration service, in accordance with its applicable rules. The arbitration shall be conducted in English in London, England.

14.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

14.5 Exceptions

Nothing in this Section 14 shall prevent StayAhead from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

14.6 International Users

If you access the Portal from outside England and Wales, you are responsible for compliance with local laws and regulations. StayAhead makes no representation that the Portal is appropriate or available for use in all jurisdictions.

15. Changes to Terms

15.1 Right to Modify

StayAhead reserves the right to modify, amend, or update these Terms at any time, in its sole discretion. Changes may be made to reflect:

  • Legal or regulatory requirements
  • Changes in business practices or Portal functionality
  • Security or privacy enhancements
  • Clarifications or corrections

15.2 Notice of Changes

When we make material changes to these Terms, we will:

  • Update the "Last Updated" date at the top of this document
  • Post the revised Terms on the Portal
  • Notify users via email or Portal notification (for significant changes)

15.3 Continued Use Constitutes Acceptance

Your continued access to or use of the Portal after the effective date of revised Terms constitutes your acceptance of such changes. If you do not agree to the modified Terms, you must discontinue use of the Portal.

15.4 Version History

StayAhead may maintain a version history of these Terms. Previous versions may be available upon request.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published on the Portal, constitute the entire agreement between you and StayAhead regarding the Portal and supersede all prior or contemporaneous understandings and agreements.

16.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

16.3 Waiver

StayAhead's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of StayAhead.

16.4 Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without StayAhead's prior written consent. StayAhead may freely assign these Terms without restriction. Any attempted assignment in violation of this provision shall be void.

16.5 Force Majeure

StayAhead shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to:

  • Acts of God, natural disasters, or severe weather
  • War, terrorism, civil unrest, or government actions
  • Epidemics, pandemics, or public health emergencies
  • Labor disputes, strikes, or lockouts
  • Internet, telecommunications, or utility failures
  • Cyber attacks, hacking, or security breaches
  • Supplier or third-party service provider failures

16.6 Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, agency, employment, or fiduciary relationship between you and StayAhead. You have no authority to bind StayAhead or make commitments on its behalf.

16.7 Headings

Section headings in these Terms are for convenience only and shall not affect the interpretation of any provision.

16.8 Language

These Terms are drafted in English. Any translation is provided for convenience only. In the event of any conflict between the English version and a translation, the English version shall prevail.

16.9 No Third-Party Beneficiaries

These Terms do not confer any rights or remedies upon any person or entity other than the parties and their respective successors and permitted assigns.

16.10 Electronic Communications

You consent to receive communications from StayAhead electronically, including via email or by posting notices on the Portal. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

18. Acknowledgment

BY CLICKING "I ACCEPT," ACCESSING THE PORTAL, OR USING ANY PART OF THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE STAYAHEAD EDUCATION STAFF PORTAL.
